When you decide to register a new company, there are two choices. You can either register a brand new company from scratch, I’ve already done a video covering that topic, and second option is to purchase a preregistered company, also known as a shelf company.

One of the benefits of a our shelf companies is that they all have registration numbers from the previous year which gives the impression that your business is older and has been operating for longer than companies which are newly registered. This can lend credibility to your company as there is a perception that the business has been operating for some time as is not just another new start-up. Just like antiques the older the company the higher the value in the eyes of your customers and suppliers.

All of our shelf companies are dormant which means that they have no assets, no liabilities and have never done any business. The CIPC annual returns are up to date so there are no additional costs associated with the shelf company.

The first advantage of purchasing a shelf company is speed, you will receive the registration number and the tax number almost instantly. This is very convenient should you be working to a tight deadline such as a tender. The second advantage of our aged shelf companies is the fact that they are more than six months old; which is often a requirement when signing lease agreements.

We have preregistered our shelf companies with without names and have opted instead to use the registration number which starts with a K. Effectively the K Number is the name of the company. When you purchase one of our shelf companies you have the option to keep the company as the K number or apply for your new name which you select.

Should you choose to change the name of the company the registration number remains the same, so the advantage of the aged shelf company remains.

In the past a small number of shelf companies have been used for fraudulent activities which has given them a bad reputation. To ensure that there is no misuse of our shelf companies we include the address change, director change, shareholder change as part of the service as well as a B-BBEE affidavit.

We have optimised these processes in the most succinct and sequential workflow to ensure we complete the changes in the shortest possible time.

So how do I purchase a shelf company?
Simply log on and decide if you would like a shelf company with a name or without. Once you have selected your option it is just a matter of capturing the relevant data which they system prompts you to do. Once you have captured the data you will be prompted to upload the supporting documents such as the signed limited power of attorney, IDS and proof of payment. That’s it! The system is even easier for mobile phones as accepts finger signature therefore making the process paperless. We have received great feedback for the user-friendliness of the process.

Once you have completed the online application, you can expect to get the Registration number, tax number and Cor 14.3 within 24 hours. The company name change and directors appointment will still need to go through our CIPC workflow, but once that is completed we issue the share certificates and BEE affidavit on the same day.
